By registering on the ApeXell Customer Portal, you agree to these Terms of Use. Access to the Portal is limited to you as an authorized individual acting on behalf of your organization. You are responsible for monitoring and controlling access to the Portal in accordance with these terms. You must not knowingly allow unauthorized individuals or entities to use your login credentials and must promptly notify ApeXell of any unauthorized use or attempts.
You agree that the information made available on this Portal (“Information”) shall not be shared, reproduced, or disclosed, in whole or in part, to any third party without ApeXell’s prior written consent. The Information is provided solely for internal purposes, such as accounting, license tracking, and internal governance. With ApeXell’s prior written consent, you may share reports with government regulators as part of regulatory audits. You must not provide the Information, reports, or any data furnished through the Portal to individuals or entities likely to use them for competitive, unfair, deceptive, criminal, or unlawful purposes.
Both parties agree to take commercially reasonable measures to prevent the introduction of viruses, malware, harmful code, or any malicious software into the Portal.
You must promptly notify ApeXell if you suspect or become aware of any unauthorized use of the Portal. You agree to exercise due care and use commercially reasonable efforts to prevent such use.
Both parties shall comply with all applicable laws, regulations, treaties, and conventions, including but not limited to data protection regulations (e.g., GDPR) when using the Portal.
Disclaimer of Warranties
APEXELL PROVIDES ALL INFORMATION AND ACCESS TO THE PORTAL ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. APEXELL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF THE INFORMATION. ACCESS TO THE PORTAL IS NOT GUARANTEED TO BE UNINTERRUPTED OR ERROR-FREE.
Limitation of Liability
Neither ApeXell, its affiliates, nor you shall be liable for any indirect, punitive, incidental, consequential, or special damages, including but not limited to loss of profits, business interruption, data loss, or goodwill, arising from or connected to the use or inability to use the Portal or Information.
In any case, ApeXell’s total liability, including that of its affiliates, shall not exceed the total amount paid by you to ApeXell in the 12 months immediately preceding the claim giving rise to such liability.
Termination of Access
ApeXell reserves the right to terminate your access to the Portal, with or without prior notice, and to delete all information associated with your account. Continued use of the Portal after any changes to these terms constitutes your acceptance of such modifications.
If ApeXell believes you have violated these Terms of Use, it may immediately revoke your access to the Portal and terminate your registered account.
Data Protection and Cross-Border Data Transfers
ApeXell complies with all applicable data protection laws, including the General Data Protection Regulation (GDPR) where relevant. Any data transfer outside the European Economic Area (EEA) will be performed under appropriate safeguards, such as Standard Contractual Clauses (SCCs).
Intellectual Property
All copyrights, trademarks, patents, design rights, and other intellectual property rights in the ApeXell Customer Portal belong to ApeXell and/or its licensors. Nothing in these Terms grants you any rights to use ApeXell’s intellectual property unless expressly stated.
